This policy explains the investment return approach, profit distribution method, risk disclosure, Islamic business principles, quarterly review process, investor communication process, and related terms applicable to investments made into GoHome Travel.
This document is prepared as an internal policy guideline and shall be used together with the final investment agreement signed between the Proprietor and the investor.
2. Purpose of This Policy
The purpose of this policy is to provide a clear, transparent, and professional framework for handling investor profit distribution. This policy does not constitute a guaranteed return, fixed income, loan interest, deposit scheme, or public investment offer.
This policy is designed to clarify:
- How profit distribution will be reviewed
- How the target annual profit range will work
- How quarterly profit distribution may be calculated
- What business risks are involved
- Why profit is not fixed or guaranteed
- How the investment intends to avoid interest or Riba
- How applicable taxes under the Income Tax Act 2023 shall be handled
- How the Proprietor will communicate financial performance to investors

GoHome Travel is a sole proprietorship owned and operated by Mohammad Kazi Masum, registered under the local trade license authority of Kapasia Upazila, Gazipur. As a sole proprietorship, the business is not registered under the Registrar of Joint Stock Companies (RJSC) and does not issue shares or equity.
Because travel business profit may change due to market and operational conditions, investor returns shall be based solely on actual business performance.
4. Nature of Investment
Investment into GoHome Travel shall be treated as a private profit-sharing business arrangement (Mudarabah-style) between the Proprietor and the investor. This is NOT a share purchase, equity stake, bank deposit, interest-based loan, or regulated securities offering.
If the business performs well and generates distributable profit, investors may receive profit distribution. If business performance is weak, profit distribution may be reduced, delayed, or not paid for that period.
5. Target Annual Profit Distribution Range
GoHome Travel aims to distribute profit within the following target annual range:
This target range is based on management planning and expected business performance. It is NOT a guaranteed return. Profit distribution will depend on actual business results, all operating and supplier costs, applicable taxes, cash flow, and business reserve requirements.
6. No Guaranteed Return
The investor clearly understands and acknowledges that:
- Profit is not fixed and not guaranteed
- Capital growth is not guaranteed
- Quarterly payment is not guaranteed
- The 8%–12% annual range is only a target distribution range
- Actual profit may be lower than 8% or zero for any quarter or year
- Business loss may affect profit distribution
- Distribution depends on actual profitability and Proprietor approval
- GoHome Travel shall not be responsible for paying any fixed amount if the business does not generate sufficient distributable profit
7. No Interest or Riba
This investment arrangement is structured to avoid interest or Riba in accordance with Islamic business principles (Mudarabah). The Proprietor does not offer any fixed interest-based payment. All profit distribution shall be linked to actual business performance only.
Therefore:
- Profit shall not be treated as interest or a fixed debt obligation
- Profit shall be subject to actual business performance
- Profit may vary from quarter to quarter
- Business risk shall be shared between the Proprietor and investor
- Any payment to investors shall be treated as business profit distribution, subject to approval
8. Investment Acceptance Criteria
Before accepting investment, the Proprietor shall review:
- Investor identity — National ID or Passport
- Source of funds declaration
- Investment amount and purpose
- Investor understanding of business risk and no fixed return
- Investor acceptance of Islamic profit-sharing principles
- Investor agreement with this policy and the investment agreement
- Any applicable legal or compliance requirement
The Proprietor reserves the right to reject any investment proposal without providing detailed explanation.
9. Minimum Investment Amount
The minimum investment amount accepted by GoHome Travel is:
The Proprietor may also accept larger amounts based on business need and investor profile. The specific investment amount shall be clearly stated in the signed investment agreement.
10. Investment Use of Funds
Investment funds may be used for business purposes only, including:
- Working capital and day-to-day operations
- Office setup and operational expenses
- Staff hiring and salary support
- Marketing and customer acquisition
- Airline, hotel, visa, and supplier-related costs
- Technology, website, app, and software development
- Branding, digital presence, and customer service improvement
- Business expansion and emergency reserve fund
Investment funds shall NOT be used for personal expenses of the Proprietor or family members unless properly approved and documented as a legitimate business expense.
11. Profit Calculation Basis
Profit distribution shall be based on actual financial performance after deducting all direct service costs, supplier payments, staff and operational expenses, office and marketing costs, technology expenses, professional fees, bank charges, all applicable taxes and government fees, business reserve, and any outstanding liability. Only the amount formally approved as distributable profit shall be considered for investor distribution.
12. Quarterly Profit Review
Profit distribution shall be reviewed every quarter:

Profit distribution may be processed only after business accounts are reviewed, revenue and expenses are checked, the Proprietor approves distributable profit, the distribution rate is finalized, and the payment schedule is confirmed.
13. Quarterly Distribution Approval
Quarterly profit distribution shall NOT be automatic. Before making payment, the Proprietor shall confirm:
- Whether the business generated profit in the quarter
- Whether cash flow is sufficient for distribution
- Whether all business liabilities and supplier payments are covered
- Whether a business reserve is required for the next period
- Whether distribution is financially responsible
If approved, payment shall be made at the approved rate. If not approved, distribution may be reduced, delayed, or withheld for that quarter without constituting a default.

16. Distribution Payment Method
All investment receipts, profit distributions, and capital withdrawals shall be made through bank transfer only. The investor must provide accurate bank details including bank name, branch, account number, and account holder name.
The Proprietor shall deduct all applicable withholding tax before payment and issue a tax deduction certificate to the investor upon request.
17. Distribution Timeline
Subject to quarterly review and approval, distribution shall typically be processed within 30 working days of the end of each quarter. Delay due to account reconciliation, supplier settlement, refund adjustment, cash flow management, or regulatory compliance shall not automatically constitute a default.
18. Business Reserve
The Proprietor may retain part of the profit as business reserve for future expansion, emergency funds, supplier payments, customer refunds, operational continuity, technology investment, legal or tax obligations, or working capital support. The decision to retain reserve is at the sole discretion of the Proprietor.
19. Reinvestment Option
The investor may choose to reinvest approved profit back into the business, subject to Proprietor approval. Reinvested amounts shall be recorded separately or added to the investor's principal as agreed in writing. Reinvestment shall not be automatic unless clearly agreed in writing.
20. Capital Withdrawal Policy
The investor may request withdrawal of investment capital according to the signed investment agreement. A written notice period of 60 to 90 days is required before withdrawal. Withdrawal is subject to business cash flow, availability of funds, pending liabilities, the lock-in period, and Proprietor approval.
21. Lock-In Period
The lock-in period protects business stability and allows the Proprietor to plan and deploy investment funds properly for business growth.
22. Early Withdrawal
If the investor requests withdrawal before the 12-month lock-in ends, the Proprietor may approve or reject the request based on business conditions. If approved, a settlement adjustment, administrative cost, or profit adjustment may apply. Early withdrawal approval is entirely at the Proprietor's discretion.
23. Capital Risk Disclosure
The investor understands that business investment carries risk. Possible risks include:
- Low sales or revenue shortfall
- Market competition and airline pricing changes
- Supplier issues and customer refund disputes
- Visa rejection-related service disputes
- Regulatory or government policy changes in Bangladesh
- Currency fluctuation and economic downturn
- Technology failure, business interruption, or natural disaster
Because of these risks, profit distribution may be reduced or unavailable. In serious loss situations, the investor's capital may also be affected, subject to the final investment agreement and applicable Bangladesh law.
24. Investor Acknowledgement
By investing in GoHome Travel, the investor acknowledges that:
- This is a private profit-sharing business investment — not a bank deposit, fixed return scheme, or interest-based loan
- Profit depends on actual business performance and may be lower than expected, delayed, or not paid
- Capital is subject to business risk
- This is a private arrangement and not a public securities offering
- The investor has read and understood this policy
- The investor will sign a separate investment agreement before investment is accepted
- The investor has sought or waived independent legal, tax, and Islamic finance advice
25. Reporting to Investor
GoHome Travel shall provide periodic updates including business performance summary, quarterly profit review result, approved distribution rate, payment status, and any major operational update or risk affecting the business. The Proprietor is not required to disclose confidential supplier pricing, customer data, or sensitive internal details beyond what is agreed in writing.
26. Record Keeping
The Proprietor shall maintain proper records including investor details, investment amount and date, signed investment agreement, payment receipts, quarterly review sheets, profit approval records, distribution payment proof, withdrawal requests, and final settlement records — in physical or digital form.
27 & 28. Confidentiality
The investor shall keep all Company information confidential including business strategy, financial performance, customer and supplier information, pricing structure, internal processes, technology systems, and business expansion plans. The investor shall not share confidential information with third parties without written permission.
GoHome Travel shall keep all investor information confidential and shall not disclose it publicly unless required by law, Bangladesh Bank, tax or legal authority, or as approved by the investor.
29–31. Conflict of Interest, Management & Investor Role
The Proprietor shall avoid conflict of interest and shall not misuse investor funds for non-business purposes. The Proprietor retains full authority over all day-to-day business decisions including pricing, supplier selection, staffing, marketing, technology, and expense approval.
The investor acts as a financial investor only. The investor shall not represent the business, negotiate with customers or suppliers, or use the GoHome Travel name without written permission from the Proprietor. Any operational involvement must be separately documented.
32. Tax and Legal Responsibility
Both the Proprietor and investor should obtain independent tax and legal advice from qualified professionals registered in Bangladesh.
33. Islamic Compliance
The Proprietor intends to keep this investment structure aligned with Islamic business principles (Mudarabah). The Proprietor may consult Islamic finance advisors or Shariah scholars as required. If any provision is found to conflict with Islamic principles, the structure may be revised accordingly within legal and business constraints.
34. Prohibited Representation
No person connected with GoHome Travel is permitted to:
- Promise any fixed or guaranteed return to any investor
- Represent the investment as risk-free or the same as a bank deposit
- State that the Proprietor must pay fixed return regardless of profit
- Publicly advertise or solicit investors through any public channel
Any statement made outside the signed investment agreement shall not be binding on the Proprietor or the business.
35. Investor Communication Standards
Permitted Terms

- 'Business risk applies — no interest or Riba involved'
- 'Private profit-sharing arrangement — not a public securities offering'

- 'Guaranteed return' / 'Assured profit' / 'Sure profit'
- 'Fixed monthly income' / 'Fixed interest' / 'Deposit scheme'
- 'Risk-free investment' / 'Capital protected'
- 'Guaranteed 12% return' / 'Open to all investors'
36. Settlement Upon Exit
When an investor exits, the Proprietor shall prepare a settlement calculation including original investment amount, approved but unpaid profit, any adjustments or loss allocation, previous payment records, and the final payable amount. Final settlement is subject to the signed investment agreement, business performance, and available funds.
37. Death or Incapacity of Investor
If an investor passes away or becomes legally incapable, the Proprietor shall deal with the legal heir, nominee, or authorized representative under Bangladesh law. Required documents include death certificate, succession certificate, nominee identification, and bank details. No funds shall be released without proper legal verification.
38. Dispute Resolution
Any dispute shall first be resolved through mutual discussion and good faith negotiation. If unresolved, the matter shall be handled through mediation, arbitration, or the jurisdiction of competent courts in Bangladesh, as specified in the signed investment agreement.
39. Policy Amendment
GoHome Travel may review, amend, or replace this policy from time to time due to business changes, legal updates, tax changes, or management decisions. Any material change affecting existing investors shall be communicated in writing within 30 days. Investors shall acknowledge receipt of any material policy change in writing.
40. Relationship With Investment Agreement
This policy is an internal guideline. All final rights and obligations shall be governed by the signed investment agreement between the Proprietor and the investor. Where there is any conflict, the signed investment agreement shall prevail. No investment shall be considered accepted until funds are received and the agreement is signed by both parties.
